Dispute Resolution & Arbitration

Overview
This Dispute Resolution and Arbitration Agreement ("Agreement") is incorporated into and forms part of HuddleSpy's Terms of Service. By using HuddleSpy, you agree to resolve disputes with HuddleSpy LLC ("HuddleSpy") through the process described in this Agreement rather than through court litigation, except as expressly provided below.
Informal Resolution First
Before initiating any formal dispute process, you agree to contact HuddleSpy at contact@huddlespy.com and provide a written description of your dispute, the relief you are seeking, and your contact information. HuddleSpy will attempt to resolve the dispute informally within 30 days of receiving your notice. Both parties agree to negotiate in good faith during this period.
Binding Arbitration
If informal resolution fails, any dispute, claim, or controversy arising out of or relating to your use of HuddleSpy, these Terms, or any HuddleSpy service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, except as modified herein. The arbitration shall be conducted in Maricopa County, Arizona, or via videoconference at either party's election. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Class Action Waiver
YOU AND HUDDLESPY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.
The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.
Exceptions to Arbitration
The following disputes are not subject to arbitration and may be brought in court:
- —Claims for injunctive or equitable relief to prevent unauthorized use of intellectual property
- —Claims that may be brought in small claims court (disputes under $10,000)
- —Any claim where arbitration is prohibited by applicable law
Governing Law and Venue
This Agreement is governed by the laws of the State of Arizona without regard to conflict of law principles. For disputes not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Maricopa County, Arizona.
Severability
If any part of this Agreement is found unenforceable, the remaining provisions will continue in full force and effect. If the class action waiver is found unenforceable, the entire arbitration provision shall be null and void.
